General Terms of Use

By registering for an account with Green, you acknowledge and agree to be bound by these Terms of Use. Green reserves the right to modify its terms and conditions, in whole or in part, at any time, with or without prior notice.

Your Agreement

1.1 This app, consecutively called Green Platform is operated by ZOOMOOV Pte Ltd, a company incorporated in Singapore. Please read these Terms of Use (“Terms of Use”) carefully before utilizing the Green Platform and the services provided by ZOOMOOV Pte Ltd, its affiliated entities (collectively referred to as “Green”), or the third-party operators (referred to as the “Operator”) through the Green Platform (the “Services”).

The terms “you” and “your” in these Terms of Use refer to (1) any person who accesses the Green Platform and (2) individuals for whom you make a purchase of the Services.

Change of Terms of Use

2.1 Green's Modifications

Green may modify this Agreement from time to time, with or without notice, and your continued use of any of the Services or continued maintenance of an account with Green shall constitute and be deemed to be your acceptance of such modification and your consent to abide by any terms thereof.

Your ongoing use of the Green Platform following any changes constitutes your acceptance of the revised Terms of Use. If you do not agree to the updated Terms, you should refrain from using or accessing the Green Platform and/or the Services. It is your responsibility to regularly check the Green Platform for updates to these Terms of Use and familiarize yourself with any changes.

Additionally, when using the Services, you will comply with any additional terms applicable to those Services that may be posted on the app from time to time, as well as the privacy policy (the “Privacy Policy”).

2.2 Green account

Services on Green Platform require the user to maintain an account, a user may create an account free of charge by providing the relevant details requested for. Use of the account and the Services are offered at the sole discretion of Green and subject to your compliance with this Agreement.
An individual shall not create or have control and/or custody over multiple Green accounts. In particular:

(a) Each mobile number may only be linked to one Green account;

(b) Each payment account (e.g. each bank account; each paypal account) may only be linked to one Green account.
A failure to abide by any terms and conditions, the perpetration of any fraud or abuse, whether relating to the accrual and/or other rewards or otherwise, and/or any misrepresentation of any information furnished to Green or its affiliates may result in your Green account being flagged for suspicious activity and suspended or terminated; any benefits accumulated being forfeited; and/or any store credit, coupon or vouchers purchased by you being canceled.

You are responsible for regularly checking your account to ensure credit, coupon or vouchers have been properly credited and that your account balance is up to date. You must notify Green of any omissions, incorrect entries or discrepancies concerning any transaction within 30 days after that transaction. Green reserves the right not to correct any omissions, incorrect entries or discrepancies brought to its attention after the 30-day period.

Green Platform and Content

3.1 Use of the Content

All materials displayed or available on the Green Platform, including but not limited to text, data, graphics, articles, photographs, images, illustrations, videos, and other materials (referred to as “Content”), are protected by copyright and/or other intellectual property rights. The Green Platform and its Content are intended solely for your personal and non-commercial use of the Services and must comply with these Terms of Use.

You agree to adhere to all copyright notices, trademark regulations, and restrictions found in the Green Platform and the Content accessed through it, and you shall not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, or otherwise exploit the Green Platform, the Content, or any third-party submissions or other proprietary rights not owned by you, without the prior express written consent of the respective owners, nor in a manner that infringes upon any third-party rights.
If Green allows you access to the Green Platform and/or its Content, that access will be granted under a non-exclusive, non-transferable limited license to use the Green Platform per these Terms of Use. Green may amend, remove, or modify the presentation, substance, or functionality of any part or all of the Content on the Green Platform at its discretion and without notice

3.2 Green’s Liability

In no event shall Green be held responsible for any Content, including but not limited to any errors or omissions found within it, or for any loss or damage of any kind arising from the use of or exposure to any Content that is posted, emailed, accessed, transmitted, or otherwise made available through the Green Platform.

Green cannot guarantee the identity of any users with whom you may interact while using the Green Platform. Additionally, Green cannot guarantee the authenticity or accuracy of any content, materials, or information provided by other users or the Operators.

All Content accessed through the Green Platform is at your own risk, and you are solely responsible for any damages or losses that may result. We continuously enhance the Green Platform to ensure you have the best experience possible and may periodically test different default sorting algorithms.

4.1 Ownership of Content

This Green Platform, the domain name (www.greenyourday.app ), subdomains, features, contents and application services (including without limitation to any mobile application services) offered periodically by Green in connection therewith are owned and operated by Green.

4.2 Provision and Accessibility of Services

Subject to these Terms of Use, Green may either offer to provide the Services by itself or on behalf of the Operators, as described in further detail on the Green Platform. The Services that have been selected by you on the Green Platform are solely for your own use, and not for the use or benefit of any third party.

The term "Services" includes but is not limited to the use of the Green Platform, any Services offered by Green by itself or on behalf of the Operators on the Green Platform. Green may change, suspend or discontinue any Services at any time, including the availability of any feature, database or content. Green may also impose limits or conditions on certain Services or restrict your access to any part or all of the Services without notice or liability.

Green does not guarantee that the Services will always be available or uninterrupted. Green will not be liable to you if for any reason the Services are unavailable at any time or for any period. You are responsible for making all arrangements necessary for you to have access to the Services. You are also responsible for ensuring that all persons who access the Services through Internet connection are aware of these Terms of Use and other applicable terms and conditions for the Services, and that they comply with them.

Green will not be liable for any inaccuracies or omissions in any content.

Intellectual Property

5.1 Intellectual Property

We provide you with a limited, revocable license to access and use the incidental software that we provide to you through the Platform as part of the Services. Your use of this software is governed by these Terms of Use.

You may not, directly or indirectly, modify the features or functionality of, copy or create derivative works from, analyze or remove components of, decompile, or attempt to reverse engineer the software, or allow or encourage any third parties to engage in such activities.

5.2 All proprietary Content, trademarks, service marks, brand names, logos, copyrighted material, and other intellectual property (“Intellectual Property”) displayed on the Platform are the exclusive property of Green and, where applicable, third-party owners such as Merchants.

No rights or licenses are granted, either directly or indirectly, to any individual accessing the Platform to use or replicate any Intellectual Property, and no person accessing the Platform may assert any right, title, or interest in it. By utilizing or accessing the Services, you agree to adhere to all copyright, trademark, and applicable intellectual property laws, as well as all other laws that protect the Services, the Platform, and its Content. You agree not to copy, distribute, republish, transmit, publicly display, publicly perform, modify, adapt, rent, sell, or create derivative works based on any part of the Services, the Platform, or its Content. Additionally, you may not, without our prior written consent, mirror or frame any part of the Platform’s content on any other server or website.

User Information Submission

6.1 Uploading Information

While accessing the Green Platform or utilizing the Services, you may provide information that Green and/or the Operators may utilize in connection with the Services, which could also be visible to other users of the Green Platform. By posting information or content on the Green Platform or otherwise supplying materials to Green and/or the Operators in connection with the Services (“User Submissions”), you understand that:

(a) You grant Green and the Operators a non-exclusive, global, royalty-free, perpetual, irrevocable, sub-licensable, and transferable right to use and fully leverage such User Submissions, including all related intellectual property rights associated with them, for the purposes of offering the Services and operating the Green Platform and Green’s business, including but not limited to the marketing and redistribution of all or part of the Services and any derivative works, in any format and through any media channels;

(b) You consent to Green using your personal information per the Privacy Policy in effect from time to time;

(c) You represent and warrant that any content in your User account does not violate any applicable laws, regulations, or any rights held by third parties.

(d) You grant each user of the Green Platform a non-exclusive license to access your User Submissions and to use, modify, reproduce, distribute, create derivative works from, display, and perform such User Submissions as permitted through the functionality of the Green Platform and in accordance with this Terms of Use;

(e) You recognize and agree that Green retains the right to reformat, modify, create derivative works from, excerpt, and translate any User Submissions provided by you. For clarity, this license granted to Green does not affect your ownership rights or ability to grant additional non-exclusive licenses for your User Submissions, unless otherwise agreed in writing;

User Content, Warranties, and Undertakings

7.1 You acknowledge that all Content, whether publicly posted or privately transmitted, is the sole responsibility of the individual from whom such Content originates. Accordingly, you, and not Green platform, bear full responsibility for any and all Content that you upload, post, email, transmit, or otherwise make available through or on the Platform.

7.2 You further acknowledge that we, along with our designee(s), reserve the right, but are not obligated, to pre-screen, reject, delete, remove, or relocate any Content at our sole discretion. This includes, without limitation, any Content or information posted by you that is available on the Platform. Without prejudice to the foregoing, we and our designee(s) retain the right to remove such Content.

8.1 Opening a Green Account

During your use of the Services, you will be required to create and maintain an account with Green (“Green Account”).

8.2 Providing Personal Information

To utilize several aspects of the Services, you may need to register with Green and choose a password and username (“Green User ID”). If you access the Services through a Third Party Website or service, Green may require your Green User ID to align with your username for that Third Party Website or service.

You must provide Green with accurate, complete, and updated registration details. Failure to comply will be considered a breach of this Terms of Use, potentially leading to immediate termination of your Green Account.

You affirm that you shall not: (a) Choose or use a Green User ID associated with another person with the intent to impersonate them; or (b) Use a Green User ID that is subject to the rights of any other person without proper authorization.

Green reserves the right to deny registration or cancel a Green Account at its discretion. You are responsible for maintaining your password confidentiality.

8.3 Account and Data Deletion

Green respects your right to manage your data. If you wish to delete your account and personal data, Green offers a straightforward process to ensure your data is handled according to your consent.

To request the deletion of your account and associated data:

(1) Log in to your Green Account

(2) Navigate to the “Profile Screen” section

(3) Select the “Delete Account” option and follow the on-screen instructions to confirm your request.

Alternatively, you may contact our support team at info@zoomoov.com with the subject line “Account Deletion Request” and include your Green User ID for verification.

When you request account deletion, Green will permanently delete the following types of data:

(a) Personal Information (e.g., your name, email address, and username)

(b) Account Information (e.g., your Green User ID and related settings)

While Green will permanently these data, certain transaction-related records may be retained by the individuals or entities for whom you make a purchase of the Services. These records are maintained solely by the individuals or entities for their operational, auditing, or compliance purposes. Green does not retain or control these transaction records once your account and associated data are deleted. If you have concerns regarding transaction records, we recommend contacting the relevant individual or entity directly.

Tickets,Coupons and Payments

9.1 Booking Confirmation

Certain Services are specified to be subject to instant confirmation. For other Services, any required confirmation time stated on the Green Platform is provided for reference only. The actual time for confirmation may differ.

9.2 Purchase and Use of Coupons

Through the Green Platform, you can purchase coupons from Green for Services (“Coupons”) offered by the Operators in various locations. Depending on the relevant Operator's policy, you will receive an email confirming your purchase, which includes a Coupon confirmation number (“Confirmation Number”) and a printable version of your Coupon.

To use your Coupon, you must be present in person at the meeting point specified by the relevant Operator at the designated time and provide any documents and/or information required by the Operator, which may include your Confirmation Number and/or your printed Coupon. Failure to arrive on time or provide requested documents or information will result in no refunds.

An Operator may also ask for a photo identification document to utilize your Coupon. Green and the Operator do not take responsibility for lost, stolen, or destroyed Coupon or Confirmation Numbers.

9.3 Terms of Coupons

The Terms of Use for each Coupon may differ among Operators, and any restrictions on using such Coupons, will be communicated to you at the point of purchase on the Green Platform.

9.4 Cancellation of Coupons

All coupon purchases made through the Green platform are final and non-cancellable under any circumstances. By purchasing a coupon, you expressly agree that no refunds, exchanges, or cancellations will be permitted, regardless of the reason. This policy is binding and applies in all cases, without exception..

9.5 Required Assistance

If you attempt to redeem a Voucher per this Terms of Use and the additional terms related to that Voucher and are unable to do so (whether due to the Operator's fault or otherwise), please contact Green at info@zoomoov.com, and Green will endeavor to coordinate with the Operator for a suitable resolution.

9.6 Additional charges and modifications to Charges

Green reserves the right to alter its pricing for fees or charges at any time, with notification to you that may be sent via email or posted on the Green Platform. Your use or continued usage of the Services offered by Green following any such notification signifies your acceptance of any new or adjusted fees or charges.

Green reserves the right to require payment for any fees or charges associated with Services provided by Green. You must pay all relevant fees or charges as indicated on the Green Platform corresponding to the Services you select.

9.7 Green’s Rights and Obligations

You acknowledge and agree that all applicable taxes and additional fees for certain Services that may be applicable when using the Services are expressly excluded from the definition of the best price.

Green has the right to deny and nullify bookings or purchases of any Services that are considered breaches of this policy. Such a determination is at Green’s sole discretion.

While Operators are obligated to provide Green with precise and up-to-date pricing of the Services on the Green Platform, Green cannot guarantee that all prices presented by the Operators for the Services are consistently accurate and updated.

9.9 The aforementioned terms and conditions, along with the return policies, apply to all Green users globally.

Green Referral Program

10.1 The Program

On select Green Sites, Green may provide members with the opportunity to earn Green Coupons when they invite friends to join a Green site, and those friends complete a confirmed booking through a designated Green invitation channel (“Green Authorized Channel”) (e.g., an invitation sent via the Green Platform, Facebook, or other supported social media channels).

10.2 Terms

You can only earn Green Coupons through Green’s authorized member invitation methods. Referrals made outside of the Green Authorized Channel will not yield any Green Coupons. You understand that Green Coupons are non-transferable, cannot be auctioned, bartered, or sold, and cannot be combined with other members' Coupons.

You will receive Green Coupons only for the first confirmed booking made by a friend who is completing their first booking on the Green Sites as a result of your invite through a Green Authorized Channel. If your friend does not follow the instructions provided in the invitation email or through other valid invitation methods, you may not receive Green Coupons, and Green will not be liable for your friend’s failure to follow those instructions.

You agree that maintaining multiple Green Accounts is a violation of this Terms of Use, and sending invites to alternate email addresses or accounts, or attempting to bypass the Green Referral Program system, may lead to forfeiture of your membership and all Green Coupons in your account, without limiting any of Green's other rights or remedies.

You must not run your own promotions related to the Green Referral Program. You may not participate in any marketing, promotional, or advertising activities on behalf of Green, including any use of Green's trademarks.

Green reserves the right to nullify referrals and Green Coupons if there is evidence that they were acquired fraudulently, in violation of this Terms of Use, or in any manner not intended by Green.

Green maintains the right to adjust the values and rewards of the Green Referral Program based on user activity.

The Green Referral Program is invalid where prohibited by law. Green reserves the right to modify or discontinue the Green Referral Program at any time. If tax liability arises from the accumulation or use of Green Coupons, those taxes are solely your responsibility. You understand that your Green Account may not accurately reflect the Green Coupons you have actually earned, and Green is not liable for any errors displayed in your account.

11.1 Privacy Policy

ZOOMOOV pte ltd ('Green', 'we', 'us', 'our') is dedicated to safeguarding your privacy and protecting your personal data in compliance with data protection principles and relevant laws.

We may collect, process, utilize, and disclose your information when you use the website www.greenyourday.app and/or the ZOOMOOV Pte Ltd (collectively referred to as the 'Green Platform') and the services offered by Green or the third-party operators (the 'Operators') through the Green Platform (the 'Services') as outlined in this Privacy Policy. The terms 'you' and 'your' in this Privacy Policy refer to any individual who accesses the Green Platform or uses the Services.

This Privacy Policy outlines the framework and terms under which Green collects, processes, utilizes, and/or discloses information obtained from you when you access the Green Platform and/or utilize the Services. This information may include personal details related to an identifiable individual, such as name, home address, phone number, email address, travel document details, vehicle rental information, insurance details, age, date of birth, or any other information you provide via the Green Platform ('Personal Information').

Please read this Privacy Policy carefully. By visiting the Green Platform, you consent to the collection, processing, usage, and disclosure of your Personal Information as described herein.

Scope of Terms

• Green reserves the right to update, amend, or modify this Privacy Policy or any part thereof without prior notification. Your ongoing access to the Green Platform or use of the Services indicates your acceptance of the updated, amended, or modified Privacy Policy unless changes reduce your rights, in which case we will seek your consent. If you disagree with any of the terms or conditions in this Privacy Policy, or any subsequent updates or modifications, you must stop accessing or using the Green Platform and the Services.

Collection of Information

We may gather Personal Information that you provide while using the Green Platform and information regarding your usage of the Green Platform when you create a user account ('User Account'), visit the Green Platform, or make reservations, rentals, and/or bookings for any Services or while using the Services. Sharing your Personal Information with Green is always voluntary. However, please note that certain Services may not be available if you decide not to provide your Personal Information. For instance, we will be unable to create your user account or facilitate reservations, rentals, or bookings without collecting your name and contact details.

Creating Your User Account

When you open a User Account with us or modify any information related to your User Account, we may collect your Personal Information, such as your name, email address, username, password, and phone number.

Visiting the Green Platform, Making Reservations, Rentals, and/or Bookings for the Services or Using the Services:

When you visit the Green Platform (even if you haven’t registered for a User Account or logged in), make reservations, rentals, or bookings for any Services, or use the Services, we may collect and process certain information (which may include Personal Information or non-personally identifiable information linked to your Personal Information) that includes, but is not limited to, the following:

(a) Copies of correspondence (whether via email, instant messaging, or other means) between you and us, as well as between you and the Operators;

(b) Information required to fulfill your reservations, rentals, and/or bookings with us and our Operators (including but not limited to travel document details, vehicle rental details, insurance details, age, and date of birth);

(d) Feedback and responses to surveys conducted by Green concerning the Services and newsletters that may be published, circulated, or distributed by Green;

(e) Information that is collected and stored on our servers or those of our third-party service providers when you use or access the Green Platform (including your User Account login credentials, your computer's Internet Protocol (IP) address, browser type, browser details, device information such as unique device identifier, pages visited, and previous or subsequent sites visited); and

(f) Information submitted through your inputs or feedback provided to Green AI Tools, including User Inputs (as defined in the Terms and Conditions of Green AI Tools); for more details, refer to the “Green AI Tools” section below.

If you utilize your mobile devices to access the Green Platform, we may collect information about you and your mobile device as described above. This includes location information if you have opted in to share this data and have configured your mobile device accordingly or if you upload photos with geolocation data to the Green Platform. Such location information will be used for the purposes outlined in this Privacy Policy. For instance, we may use your location to recommend nearby Services during your travels or to deliver personalized content. You can modify your device's privacy settings anytime to stop sharing location information. Note that certain features of the Green Platform may be affected if you disable location sharing. For inquiries about your mobile device’s privacy settings, we recommend contacting your mobile service provider or the manufacturer of your device.

If you make reservations, rentals, or bookings for other individuals through the Green Platform, we may request Personal Information regarding those individuals. It is your responsibility to obtain all necessary consent from these individuals and to ensure that they are aware of, understand, and accept this Privacy Policy before you provide their Personal Data to Green.

Indemnity

12.1 Green’s Indemnification

You agree to indemnify and hold harmless Green, along with its holding companies, subsidiaries, affiliates, officers, directors, and employees from any and all damages, liabilities, settlements, costs, attorney’s fees, claims, or demands made by any third party as a result of your access to or use of the Green Platform, your violation of these Terms of Use, or any infringement on the intellectual property rights or other rights of any entity or individual by you or anyone utilizing your Green User ID.

12.2 Green’s Involvement

14.2.1 Green may, if deemed necessary, participate in defending any claim or action and in negotiating settlements. You may not settle any matter that could adversely impact Green's rights or obligations without obtaining Green’s prior written consent. Green reserves the right, at its own expense, to assume exclusive defense and control of any claim or action upon notifying you.

Disclaimers and Limitation of Liability

13.1 Relationship Between the Parties

Green does not have a unique relationship or fiduciary duty to you regarding your access to and use of the Green Platform and its Content. You acknowledge that Green has no control over, nor any obligation to take action regarding: (a) Which users gain access to the Green Platform; (b) The content you access via the Green Platform; (c) The impacts that Content may have on you; (d) How you interpret or utilize the Content; and (e) The actions you may take as a consequence of your exposure to the Content.

13.2 Services and Recommendations

You recognize and agree that Operators may provide the Services on the Green Platform, and that suggestions or recommendations may be offered by either Operators or Users of the Green Platform. Green makes no representations or guarantees concerning the accuracy of descriptions of any of the Services, or regarding the suggestions or recommendations made about Services offered or purchased through the Green Platform.
13.3 Exclusion of Liability

In no event shall Green, the Green Platform, or any entity affiliated with Green—including its holding companies, subsidiaries, affiliates, officers, directors, and/or employees—be liable for any loss of profits or any indirect, consequential, special, incidental, or punitive damages arising from or related to: (a) The Green Platform; or (b) These Terms of Use; or (c) Any breach of this Terms of Use by you or a third party; or (d) Your use of the Green Platform, including the tools or Services we provide on the Green Platform; or (e) Any actual or attempted interactions or transactions between users, even if we have been alerted to the potential of such damages.

These limitations and exclusions apply regardless of whether the damages result from: (a) Breach of contract; or (b) Breach of warranty; or (c) Strict liability; or (d) Tort; or (e) Negligence; or (f) Any other cause of action, to the maximum extent that such exclusions and limitations are permitted by applicable law.

The Green Platform, including all content, software, features, materials, and information made available or accessed through it, is provided on an "as is" basis. To the fullest extent allowed by applicable law, Green makes no warranties or representations of any kind, explicit or implied, concerning the content on the Green Platform or the materials, information, and features accessible via the Green Platform, for any of the Services or hyperlinks to third parties, or for any security breaches that may occur during the transmission of sensitive information through the Green Platform, or for the Operators’ abilities, fitness for a particular purpose, non-infringement, or that the Services will function without interruption or errors.

You understand and agree that any communications sent to and from the Green Platform are not confidential, and your communications may be accessible to others.

You further acknowledge and agree that you will not hold Green responsible for any content provided by any Operator or third party, and you also recognize that Green is not involved in any transaction related to the Services provided by any Operator or third party. Green does not control and cannot guarantee the safety of any transactions or activities, nor the truthfulness or accuracy of any listings or content provided by Operators or third parties on the Green Platform.

13.4 Remedies

If you are dissatisfied with the Green Platform, disagree with any portion of these Terms of Use, or have any other claims against Green or another user regarding these Terms of Use or the Green Platform, your exclusive remedy is to discontinue your use of the Green Platform.

In any circumstance, to the fullest extent permitted by applicable law, Green’s liability, as well as that of its affiliates, to you or any third party for claims arising within or in connection with the Green Platform is capped at the greater of: (a) The total fees you have paid to Green in the twelve months leading up to the event that gave rise to the claim; or (b) Singapore Dollars 50.00 in total for all claims.

Communications

14.1 Acceptance

By registering as a user of Green, you consent to receive communications related to your account and user activities (for instance, notifications about credit being added to your account or payments being made to your bank account), as well as shopping-related and marketing emails that showcase coupons or exclusive deals for Green users.

14.2 Communication Platforms

We may reach out to you regarding your account through electronic communications or direct mail using the information you provided during registration. By consenting to receive electronic communications, you acknowledge that these may include any notices or information that we are legally obliged to deliver in writing or otherwise. You agree to inform us of any changes to your email address after you become a Member. Additionally, if you install the mobile application, we may send you push notifications.

Payment

15.1 To provide adequate operational support for customer transactions concerning refunds and cancellations (where applicable), the following entities associated with Green will be responsible for transactions conducted in the respective currencies:

(a) For transactions in SGD, ZOOMOOV Pte Ltd;

(b) For transactions in IDR, PT AKSI PUTRA PRESTASI

Suspension, Termination, and Account Closure

16.1 You acknowledge and agree that Green Platform, at its sole discretion and without prior notice or liability to you or any third party, may suspend or terminate your Account and User ID. Such action may include, but is not limited to, the removal or deletion of any Content associated with your Account and User ID, the revocation of any promotions, offers, deals, or subsidies granted to you, the cancellation of any transactions linked to your Account, the temporary or permanent disabling of your access to any or all Services and features on the Platform, the withholding of any proceeds from sales or refunds (if applicable), or any other action we deem necessary. Common reasons for such actions include, but are not limited to:

(a) A breach or reasonable suspicion of a breach of these Terms of Use or any other applicable terms and conditions, or conduct that is harmful to or contrary to the interests of Green Platform; (b) Violation of any applicable laws, statutes, regulations, guidelines, or policies issued by relevant authorities or regulatory bodies; (c) Prolonged inactivity of the Account for a continuous period of twelve (12) months; (d) The holding of multiple user accounts or allowing unauthorized persons to access or use your Account; (e) Dishonesty, fraud, illegal activity, criminal behavior, or misrepresentation related to your Account or use of the Platform and/or Services; (f) Acting in bad faith or engaging in behavior that is malicious, harmful, defamatory, or abusive towards other Users, third parties, or Green; (g) A court order or directive issued by a governmental or regulatory body with jurisdiction; (h) The submission of false documents or inaccurate information during registration or at any point in dealings with us; and/or (i) Failure to provide any additional information requested for verification purposes.

Engagement in suspicious, fraudulent, illegal, harassing, defamatory, threatening, or abusive conduct on the Platform may result in referral to the appropriate law enforcement authorities without notice to you.

16.2 If we suspend, cancel, or terminate your access to the Platform and/or Services due to suspected fraudulent, illegal, or unlawful activities (including breaches of laws or regulations), you will be permanently prohibited from using any Services and shall forfeit any entitlement to refunds or benefits. We reserve the right to retain, manage, or report any funds, refunds, or benefits as required by applicable laws and regulations. You shall not be entitled to any compensation for losses arising from such actions.

16.3 In the event that your Account, Services, or specific features are suspended in accordance with Clause 16.1, we reserve the right to conduct an investigation into the matter. During this period, we may, at our discretion, withhold any refunds or benefits owed to you (if applicable) until such time as we receive clearance from the relevant authorities or conclude our investigation to our satisfaction.

Consequences of Account Termination

16.4 Any provisions of these Terms of Use intended to survive the termination of your Account, including any warranties, commitments, or indemnifications provided by you, shall remain in full force and effect following such termination.

16.5 Upon termination of your Account for any reason, unless otherwise agreed in writing, all unredeemed Merchant Offerings or unused credit will immediately expire and be removed from your Account. Additional consequences may be provided for in the Specific Terms and Conditions.

Governing Law and Arbitration

17.1 Governing Law

This Agreement, along with any amendments that Green may periodically implement at its discretion, is governed by and interpreted in accordance with the laws of the Republic of Singapore.

17.2 Arbitration

Any disputes arising from or related to this Agreement, including questions concerning its existence, validity, or termination, shall be submitted to arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the current Arbitration Rules of the SIAC (“SIAC Rules”), which are considered incorporated by reference in this clause. The arbitration will take place in Singapore, and the Tribunal will consist of a single arbitrator. The proceedings will be conducted in English. You acknowledge that all matters are to be decided by the arbitrator, including issues related to the scope, applicability, interpretation, and enforceability of this Agreement and this arbitration provision. The arbitrator will also determine whether any claim falls under the arbitration process.
